Acceptance of Terms

The Services (as defined below) provided in this Site (“Site”) are subject to the following Terms of use (“TOU”). CobbleStone Systems Corp. (“CobbleStone”) reserves the right to update and modify these TOU at any time without notice to you. The current version of these TOU can be reviewed by clicking on the “Terms of Use” hyperlink located at the bottom of the pages on this Site. When we make updates to these TOU, CobbleStone will update the date at the top of this page. By using the Site after a new version of the TOU has been published, you agree to the terms of such new version.

Description of Site Services

Through this Site, CobbleStone provides you with access to a variety of resources, including clauses, Content (as defined below), and similar tools (collectively “Services”). The Services, include any updates, enhancements, new features, and/or the addition of any new site properties are subject to these TOU.

Personal and Non-Commercial Use Limitation

You affirm that you are at least eighteen (18) years of age or older and are permitted to enter into these TOU. Unless otherwise specified, the Services offered through this Site are for your personal and non-commercial use. The Content provided or retrieved from this Site shall not be misconstrued as legal advice. The use of this Site and its Content are at your own risk.

Privacy and Protection of Personal Information

By agreeing to these TOU, you also agree to CobbleStone’s Privacy Statement disclosures relating to the collection and use of your personal data.

Content

You may use the Site and its Content for lawful purposes only and may use the Site only in ways consistent with all applicable law. You may not use any program, spider or "bot" to gather or "harvest" information from this Site. You may not engage in any activity that interferes with or disrupts (in our sole discretion) the Services or the servers and networks which are connected to the Services, or access (or attempt to access) any of the Services by any means other than through the interface that is provided by CobbleStone. All rights not expressly granted to you in this TOU are reserved and retained by CobbleStone Software or its licensors, suppliers, publishers, rightsholders, or other content providers.

User Provided and Third-Party Content

You agree that CobbleStone is not liable for Content that is provided by others. CobbleStone reserves the right to deny additional Content and reserves the right remove any content for any reason at any time, though this right shall not place an obligation on CobbleStone to monitor the Site Content.

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person or entity from which such Content originated. CobbleStone does not control the Content posted via the Site and, as such, do not guarantee the accuracy, integrity, originality, or quality of such Content. You understand that by using the Site, you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable. Under no circumstances will CobbleStone be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Site.

No Legal Advice

The Site and all Content are provided for general informational purposes only, and may not reflect current legal developments, verdicts or settlements. Any information contained in the Content, or the Site should not be construed as legal advice and is not intended to be a substitute for legal counsel on any subject matter. No recipient of Content from the Site should act or refrain from acting on the basis of any Content included in, or accessible through, the Site without seeking the appropriate legal or other professional advice on the particular facts and circumstances at issue from a lawyer licensed in the recipient’s state, country or other appropriate licensing jurisdiction.

Software

Any software, inclusive of the functionality of the Site ("Software") is the copyrighted work of CobbleStone and/or its suppliers. Use of the Software is governed by the terms of this Agreement. You are licensed to utilize the Site for your sole use in accordance with this Terms of Use. You are not permitted to distribute, sell, decompile, attempt to analyze the source or object code, sublicense, rent or otherwise access this Site in violation of these TOU. Any reproduction or redistribution of the Software not in accordance with these TOU is expressly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent permitted by law.

The Software is warranted, if at all, only according to the terms of these TOU.  CobbleStone hereby disclaims all warranties and conditions with regard to this Software, this Site, including all warranties and conditions of merchantability, whether express, implied or statutory, fitness for a particular purpose, title and non-infringement.

CobbleStone Software does not make any assurances with regard to the accuracy of the Site or Content results or output that derives from such use of any such tools and utilities. By accepting these TOU, you warrant you will not infringe any intellectual property rights when using the tools and utilities made available on the Services or in CobbleStone products and this Site.

Elements of CobbleStone tools and this Site are protected by trade dress, trademark, unfair competition, and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound or image from any CobbleStone software tools or this Site may be copied or retransmitted unless expressly permitted by CobbleStone or its owner.

The Content and information on this Site could include inaccuracies, typographical, or other errors. CobbleStone and/or its respective suppliers make no representations about the suitability of the information contained in the content and related graphics published as part of the services for any purpose. All such Content, Services, and related information are provided "as is" without warranty of any kind. CobbleStone and/or its respective suppliers hereby disclaim all warranties and conditions with regard to this information, including all warranties and conditions of merchantability, whether express, implied or statutory, fitness for a particular purpose, title and non-infringement. In no event shall CobbleStone and/or its respective suppliers be liable for any special, indirect, or consequential damages, or any damages whatsoever resulting from loss of use, data, or profits, whether in an action of contract, negligence or other tortious action, arising out of or in connection with the use or performance of information available from the Services thought this Site.

CobbleStone and/or its respective suppliers may make improvements and/or changes in the Site, its product(s) and/or the program(s) described herein at any time, without notice to you.

Limitation of Liability

In no event shall CobbleStone and/or its respective suppliers be liable for any special, indirect or consequential damages, or any damages whatsoever resulting from loss of use, data, or profits, whether in an action of contract, negligence or other tortious action, arising out of or in connection with the use or performance of any content, software, documents, provision of or failure to provide services, or information available from the services.

Member Account, Password, and Security

If any of the Services related to this Site requires you to register or open an account, you must complete the registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. You also will choose a password and a username. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify CobbleStone immediately of any unauthorized use of your account or any other breach of security. CobbleStone will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by CobbleStone or another party due to someone else using your account and/or password. You may not use anyone else's account at any time, without the permission of the account holder.

No Unlawful or Prohibited Use

As a condition of your use of the Services and Site, you will not use the Site or its content for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any CobbleStone server, or the network(s) connected to any CobbleStone server, or interfere with any other party's use and enjoyment of any Site or Services. You may not attempt to gain unauthorized access to any Services, Site, other accounts, computer systems or networks connected to any CobbleStone server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services or this Site. You may not attempt to copy or change, alter, or otherwise attempt to modify the Site or services or these TOU. We make no representation that content on this Site is appropriate or available for use in locations outside the United States. If you choose to access this Site from a location outside the US, you do so on your own initiative and you are responsible for compliance with any and all local laws.

Use of Site Services

The Site and the Services may enable you to post and submit content. You agree to  only to post, send and receive messages and material that are proper, original and does not violate the rights of any persons or third-party. By use of these Services or Site, you will not:

• Use the Site in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).
• Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
• Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent, or unlawful topic, name, material, or information.
• Upload, or otherwise make available, files that contain images, photographs, software, or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright, or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.
• Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
• Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.
• Advertise or offer to sell or buy any goods or services for any business purpose unless you have obtained written approval from CobbleStone that specifically allows such messages.
• Download any file posted by another user o that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.
• Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
• Restrict or inhibit any other user from using and enjoying the Site content.
• Harvest or otherwise collect information about others, including e-mail addresses.
• Violate any applicable laws or regulations.
• Create a false identity for the purpose of misleading others.

CobbleStone has no obligation to monitor the content on the Site. However, CobbleStone reserves the right to review materials posted and to remove any materials in its sole discretion. CobbleStone reserves the right to terminate your access to any or all of the Site at any time, without notice, for any reason whatsoever.

CobbleStone reserves the right to disclose any information as CobbleStone deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in CobbleStone's sole discretion.

Do not post any personally identifiable information about yourself, others, any third-party (without such party’s permission) in any content on the Site. CobbleStone does not control or endorse the content, messages or information found in any content on or through the Site and, therefore, CobbleStone specifically disclaims any liability regarding the Site content and any actions resulting from your participation in any Site usage. Managers, users, and employees are not authorized CobbleStone spokespersons, and their views do not necessarily reflect those of CobbleStone.

Content and other materials uploaded to the Site may be subject to limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials.

Materials Provided to CobbleStone or Posted at any CobbleStone Site

CobbleStone Software does not claim ownership of the materials you provide, and materials provided by or sourced from third-party’s (including feedback and suggestions) or content, post, upload, input or submit to any Site services or its associated services for review by the general public, or by the members of any public or private community, (each a "Submission" and collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting ("Posting") your Submission you are granting CobbleStone, its affiliated companies and necessary sublicensees permission to use your Submission including, without limitation, the license rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; to retain the rights to publish your name in connection with your Submission; and the right to sublicense such rights to any supplier of the Services.

No compensation will be paid with respect to the use of your Submission, as provided herein. CobbleStone is under no obligation to post or use any Submission or content you may provide, and CobbleStone may remove any Submission at any time in its sole discretion.

By Posting a Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in these Terms of Use including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

Notices and Procedure for Making Claims of Copyright Infringement

If you feel your content is subject to copyright or intellectual property protection and such rights are violated, pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to legal@cobblestonesoftware.com.

Assignability, Choice of Law and Location for Resolving Disputes

You agree that the laws of the state of New Jersey, USA and US federal law govern these TOU, its subject matter, your use of the Site, and any claim or dispute that you may have against us, without regard to its conflict of laws rules, and that the United Nations Convention on Contracts for the International Sale of Goods shall have no applicability.

You agree that these TOU are not assignable by you. You further agree that any disputes or claims that you may have against CobbleStone will be resolved by a court located in the state of New Jersey, USA in the county of Camden, and you agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. BY AGREEING TO THESE TERMS OF USE, YOU ARE: (1) WAIVING CLAIMS THAT YOU MIGHT OTHERWISE HAVE AGAINST COBBLESTONE BASED ON THE LAWS OF OTHER JURISDICTIONS, INCLUDING YOUR OWN; (2) IRREVOCABLY CONSENTING TO THE EXCLUSIVE JURISDICTION OF, AND VENUE IN, THE STATE OR FEDERAL COURTS IN THE STATE OF NEW JERSEY OVER ANY DISPUTES OR CLAIMS YOU HAVE WITH US; AND (3) SUBMITTING YOURSELF TO THE PERSONAL JURISDICTION OF SUCH COURTS FOR THE PURPOSE OF RESOLVING ANY SUCH DISPUTES OR CLAIMS.
